1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Informational & Modeling Disclaimer (Not Financial or Legal Advice)

• No Fiduciary or Engineering Advice: REI Vitals is a data modeling and financial simulation tool designed for informational purposes only. The Service does not provide certified financial, tax, legal, architectural, structural, or engineering advice.

• Estimates & Projections: Useful life spans, replacement cost heuristics, reserve targets, and quote comparisons are automated algorithmic estimates. Actual contractor costs, physical wear-and-tear, and equipment longevity will vary based on regional conditions, installation quality, and market fluctuations.

• User Responsibility: You are solely responsible for independently verifying contractor licensing, warranty fine print, building permits, and financial viability before executing physical property repairs or capital improvements.

3. Subscription Billing & Free Trials

• Billing: Access to certain features requires a recurring paid subscription. Subscriptions are billed in advance on a monthly or annual basis via our payment provider.

• Free Trials: Any free trial period offered grants temporary access to paid features. At the conclusion of the trial period, your selected payment method will be charged unless cancelled prior to the trial expiration date.

• Cancellations: You may cancel your subscription at any time through the self-service billing portal in your account settings. Cancellations take effect at the end of the current paid billing cycle.

4. User Content & Uploaded Documents

• You retain full ownership of all data, spreadsheets, and documents uploaded to the Service.

• You represent and warrant that you own or have the necessary rights to upload any contractor documents, lease agreements, or financial files submitted to the platform.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Prophesy AI and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, rental revenue, or property equity.

• Unexpected equipment failure, structural damage, or emergency maintenance expenses.

• Contractor disputes, defective workmanship, or unhonored vendor warranties.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

7. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Continued use of the Service following any updates constitutes acceptance of the new Terms.
